("we" or "our") is a leading blockchain software development company focused on leveraging decentralized technology to provide reliable digital asset management services to individuals like you ("you" or "your"). We host a top-level domain site: https://www.bscecowallet.com, which provides information about BSC Wallet and our products, including subdomains for our products (the "Website"), which includes text, images, audio, code, and other materials or third-party information.
This "Service Agreement" ("Agreement" or "Service Agreement") contains the terms and conditions governing your access to and use of the Website and services (as defined below) provided by us and constitutes an agreement between us and you or the entity you represent. Please read this Service Agreement carefully before using the Website or services. By using the Website, clicking a button or checking a box to accept or agree to the terms of this Service Agreement (if such option is available), submitting a service order, or, if earlier, using or otherwise accessing the services (the "Effective Date"), you (1) accept and agree to this Service Agreement and any additional terms, rules, and conditions of participation that we may post from time to time, and (2) consent to the collection, use, disclosure, and other handling of information as described in our Privacy Policy. If you do not agree to this Service Agreement, you may not access or use the services.
We hereby specifically remind you to read this Service Agreement and other documents mentioned herein carefully before using our BSC Wallet mobile application (hereinafter referred to as "BSC Wallet" or "the Software," which can be downloaded from various mobile application platforms, including but not limited to Google Play Store and Apple App Store), especially the "Disclaimer and Limitation of Liability" clause in this Service Agreement, to ensure you fully understand each clause and independently consider the risks of using BSC Wallet.
I. Acknowledgment and Acceptance of this Service Agreement
1. You understand that this Service Agreement and related agreements apply to BSC Wallet and the decentralized applications ("DApp") that we develop and own on BSC Wallet (excluding third-party DApps).
2. By downloading the BSC Wallet software and creating, restoring, or importing a wallet identity (as defined below), you are deemed to have fully read and accepted all terms of this Service Agreement, which takes immediate effect and is binding on both parties. If you do not agree to the terms of this Service Agreement, you must immediately stop using BSC Wallet. If you have already downloaded BSC Wallet, please delete it immediately.
3. When accessing or using BSC Wallet, you agree to:
(1) be bound by the latest version of this Service Agreement (without changes or modifications);
(2) have reached the legal age to use BSC Wallet in your applicable jurisdiction and can bear binding legal or monetary obligations arising from using BSC Wallet; and
(3) not be a "Prohibited Person" (as defined below).
4. This Service Agreement may be updated by us at any time, and the revised Service Agreement will automatically take effect once published on our website, without further notice. If you do not accept the revised terms after we publish the modified agreement, please stop using BSC Wallet immediately.
5. Please be aware that your continued use of BSC Wallet after any modification to this Service Agreement constitutes your acceptance of the modified terms.
II. Definitions
1. **China**: Refers to the People's Republic of China, including (1) Hong Kong Special Administrative Region, (2) Macao Special Administrative Region, and (3) Taiwan region.
2. **BSC Wallet**: Refers to the multi-currency digital wallet developed by us based on distributed ledger technology, including other auxiliary tools developed to facilitate your use of the blockchain system.
3. **Prohibited Person**:
(1) A person other than a natural person who has the legal and cognitive ability to enter into this Service Agreement; or
(2) A person prohibited, restricted, unauthorized, or ineligible to use the services (as defined in this Service Agreement) in any form or manner (in whole or in part) due to this Service Agreement, laws, regulatory requirements, or applicable jurisdiction; and
(3) For clarity, residents and/or domiciled users in China are included in the definition of "Prohibited Person."
We do not provide services to Prohibited Persons. If you are a Prohibited Person, please stop using our services immediately. By continuing to use our services, you acknowledge and agree that you will bear all corresponding responsibilities under the applicable laws, regulations, and rules of your residing jurisdiction, and you will hold us harmless from any liability arising from your such use, including but not limited to losses caused to us, third-party claims or administrative penalties, and reasonable legal and administrative costs, fees, and expenses, including reasonable attorney's fees.
4. **Identity**: Refers to a digital identification identity generated based on your public-private key pair.
5. **Beginner's Guide**: Refers to the BSC Wallet operating guide we provide to help you understand the basics of blockchain before (and during) your use of BSC Wallet.
6. **Creating or Importing a Wallet**: Refers to the process of creating or importing a wallet using BSC Wallet after accepting this Service Agreement.
7. **Wallet Password**: Refers to the password you set during the creation of the BSC Wallet wallet, which will be used to encrypt and protect your private key. As a decentralized application, BSC Wallet does not store the wallet password on your mobile device or our server. If you lose or forget the wallet password, you need to reset the wallet password with the private key or mnemonic phrase.
8. **Information Prompts**: Refers to the information prompt content involved in the BSC Wallet software operation interface, and it is recommended to follow the relevant steps for operation.
9. **Specific User**: Refers to users who must cooperate with us in fulfilling personal information disclosure obligations under the laws and regulations and policy requirements of Singapore and other countries.
10. **Developer User**: Refers to users who use BSC Wallet's open-source code and developer mode services for developers as per our notifications and relevant open-source protocols.
11. **Private Key**: Consists of 256-bit random characters and is the core for users to own and use digital tokens.
12. **Public Key**: Generated from the private key using cryptographic principles and used to generate the blockchain digital wallet address, which is the public receiving address.
13. **Mnemonic Phrase**: Complies with the blockchain BIP39 industry standard, consisting of 12 (or 15/18/21/24) ordered words generated by a random algorithm. It is an easy-to-record form of the private key for convenient backup and storage.
14. **Keystore**: The file format in which the private key or mnemonic phrase is encrypted and saved with the wallet password you set. It is stored only on your mobile device and will not be synchronized to our server.
15. **Digital Token**: Refers to the types of digital tokens currently supported by BSC Wallet, including but not limited to BTC, ETH, etc.
16. **Data**: Refers to articles and other materials in the "Browse," "Market," and other sections on BSC Wallet, all owned by third parties and not to be reproduced without authorization. These materials are for your reference only and do not constitute our trading guidance or advice.
17. **Message Center**: Refers to the inbox where you can receive information or notifications sent by us.
18. **Personal Information**: Refers to various information recorded electronically or otherwise that can identify the user's personal identity alone or in combination with other information, including but not limited to personal biometric information, email addresses, wallet addresses, mobile device information, operational records, transaction records, etc., but excluding the user's wallet password, private key, mnemonic phrase, Keystore.
19. **Smart Contract**: Refers to a contract-based on Ethereum designed to disseminate, verify, or execute contracts in an automated manner, including but not limited to the Tokenlon smart contract mentioned later.
III. BSC Wallet Services (collectively "Services")
1. **Creating and Recovering Identity**: You can use the "Create Identity" and "Recover Identity" buttons provided by BSC Wallet to create and recover identities and manage multi-chain wallets under one identity.
2. **Importing Wallet**: For digital tokens supported by BSC Wallet, you can use BSC Wallet to generate a new wallet or import compatible wallets generated by other wallet tools from the relevant blockchain systems.
3. **Transfer and Receipt**: You can manage digital tokens using the transfer and receipt functions of BSC Wallet, i.e., use the private key for electronic signature to modify the ledger of the relevant blockchain. The transfer refers to the transfer operation performed by the payer using the ENS domain name or blockchain address of the payee. This "transfer" involves a valid record of the transaction on the distributed ledger of the relevant blockchain system (rather than the actual delivery or transfer of digital tokens on BSC Wallet).
4. **Viewing Market Prices**: You can use BSC Wallet to view digital token exchange rates provided by third parties. BSC Wallet grabs the relevant digital token exchange rate information and displays it in the "Market" section of BSC Wallet.
5. **Managing Digital Tokens**: You can add, store, or remove digital tokens supported by BSC Wallet (except ETH and BTC) from the BSC Wallet operation interface.
6. **Token Exchange (DEX)**: You can exchange digital tokens with third parties using the third-party Tokenlon smart contract, with BSC Wallet serving as an interface tool to help you interact with the third-party smart contract and display the corresponding results of the digital token exchange.
7. **Browsing DApps**: You can access and use services provided by DApps (including our DApps and third-party DApps) through BSC Wallet
IV. Your Rights and Obligations
(I)Creating or Importing Wallet
1. Creating or Importing Wallet. You have the right to create and/or import a wallet on your mobile device via BSC wallet, set the wallet password, and other information, and use your wallet to make transactions such as transfers and receipts on the blockchain through the BSC wallet application.
2. Identity Verification. Certain users, as required by relevant laws and regulations, should complete relevant identity verification in a timely manner when using services provided by BSC wallet, according to the prompts of BSC wallet. You are required to submit personal information including but not limited to your name, ID number, phone number, and bank card number. Otherwise, the specific user will not be able to use the relevant services, and any losses caused by the delay will be borne by you.
3. We may develop different software versions for different terminal devices, and you should choose the appropriate version for installation according to your actual needs. If you obtain this software from an unauthorized third party or obtain an installation program with the same name as this software, we cannot guarantee its normal use or security, and any losses caused thereby will be borne by you.
4. After the release of a new version of this software, the old version may become unusable. We do not guarantee the security, availability, or provision of corresponding customer service for the old version software. Please check and download the latest version at any time.
(II)Using BSC Wallet
1. You shall be responsible for the safekeeping of your mobile device, wallet password, private key, mnemonic phrase, and Keystore information. We are not responsible for the safekeeping of the above information. Any risks, liabilities, losses, and expenses caused by your loss of the mobile device or hardware wallet, voluntary or involuntary disclosure, forgetting wallet password, private key, mnemonic phrase, Keystore, or being attacked or defrauded by others, shall be borne by you.
2. BSC Wallet Information Alerts. You understand and agree to follow the information alerts we publish on BSC Wallet and to operate according to the content of the information alerts. Otherwise, you shall bear all risks, liabilities, losses, and expenses caused thereby.
3. You understand that BSC Wallet is not obligated to conduct due diligence on third-party services, and you should carefully evaluate and bear all risks associated with the use of BSC Wallet.
4. Providing Information and Documents. If we deem it necessary to obtain relevant information from users to comply with any applicable laws or regulations related to the use or operation of BSC Wallet, you shall provide such information to us promptly as required. You understand and accept that we may restrict, suspend, or terminate your use of BSC Wallet until you provide the information we require. You promise to inform us promptly of any changes to the documents and information provided to us under this Agreement, and without written notice of any changes, we have the right to consider the content of the documents and information provided by you to be true, correct, non-misleading, and unchanged.
e5. Complete Identity Verification. When we reasonably believe that your transaction behavior or transaction situation is abnormal, or there are doubts about your identity information, or when we believe that your identity documents or other necessary documents should be verified, please actively cooperate with us to verify your valid identity documents or other necessary documents in a timely manner.
6. Transfer.
(1)You understand that the daily transfer limit and number of transfers available to you in the BSC Wallet service may vary due to factors such as the country/region you are in when using the transfer service, regulatory requirements, transfer purposes, BSC Wallet risk control, and identity verification.
(2)You understand the "irrevocable" property of blockchain operations. When you use the transfer function of BSC Wallet, you should bear the consequences of your operational errors (including but not limited to errors in entering the transfer address or selecting the transfer node server yourself).
(3)You understand that the following situations may cause the transfer function to be unavailable, the transfer transaction to "fail," or "packaging timeout" when using BSC Wallet services:
a) Insufficient wallet balance;
b) Insufficient transaction miner fees;
c) Failure of blockchain execution of smart contract code;
d) Exceeding the payment limit specified by regulatory authorities, BSC Wallet, or laws and regulations;
e) Technical failures such as network, equipment, etc.;
f) Congestion or failure of the blockchain network causing transactions to be discarded;
g) Your address or the counterparty's address is identified as a special address, such as a high-risk address.
(4)You understand that BSC Wallet only provides you with transfer tools. After you use BSC Wallet to complete the transfer, we have fulfilled all obligations of the service for that transaction, and we are not responsible for any other disputes related to it.
7. Coin-to-Coin Exchange. You understand that the daily limit for coin-to-coin exchange is currently limited by third-party smart contracts. We may also restrict and adjust the amount you can exchange daily.
8. Legality and Compliance. You understand that when operating on BSC Wallet or trading with DApps or smart contracts on BSC Wallet, you should comply with the requirements of relevant laws and regulations and national policies.
9. Announcements and Notifications. BSC Wallet will send you notifications through website announcements, message center messages, pop-up prompts, or client notifications, such as notifying you of transaction progress or prompting you to perform related operations. Please pay attention to them promptly.
10. Service Fees and Tax Obligations:
(1)When you use the coin-to-coin exchange service of BSC Wallet, third-party smart contracts will charge you fees and/or service fees. The specific fees are subject to the amount charged by the third-party smart contracts, and BSC Wallet information prompts are for reference only.
(2)We do not currently charge you any form of service fees or transaction fees. When we need to charge fees for certain services in the future, we will separately agree or announce the rules.
(3)When you use BSC Wallet for transfers, you should pay "miner fees" or network fees, the amount of which is determined by you and collected by the relevant blockchain network.
(4)You understand that under certain circumstances (including but not limited to insufficient "miner fees" or network fees paid by you during the transfer, or instability of the relevant blockchain network), your transfer operation may fail; in such cases, even if your transfer operation is not completed, you will still be charged "miner fees" by the relevant blockchain network.
(5)You are responsible for paying all taxes and other expenses incurred in connection with your transactions on BSC Wallet.
(III)Development by Developer Users Based on the Open Source Code of BSC Wallet
1. Developer users have the right to use the BSC Wallet open source code published by us through official channels for secondary development of applications and to download and use any patches or vulnerability solutions we release for the BSC Wallet open source code.
2. When using the BSC Wallet open source code, developer users understand and agree that:
(1)If developer users discover any vulnerabilities, defects, or software improvement plans during the use of the BSC Wallet open source code, they should promptly contact us and stop any harmful use behavior (if applicable);
(2)The BSC Wallet opn source code may contain third-party open source agreements and source code, and we do not provide any form
V. Risk Warning
1. You understand and acknowledge that due to the incomplete legal regulations and policies in the field of digital tokens, significant risks such as non-redemption and technical instability may arise with digital tokens in this field. You also understand that the price fluctuations of digital tokens are much higher than those of other financial assets. We cautiously remind you that you should choose to hold or dispose of any digital token in a reasonable manner according to your own financial situation and risk preferences. You also understand that the market viewing function provided by BSC wallet only represents the search results of the exchange rates of digital tokens from some exchanges, and does not imply the latest market quotes or the best prices.
2. When using the BSC wallet service, if you or your counterparty fail to comply with this "Service Agreement" or the operation prompts, rules, or instructions on relevant website pages, we do not guarantee that the transaction will be completed smoothly, and we do not assume any liability for damages. In the event of the aforementioned situations, and if funds have already been credited to your or your counterparty's BSC wallet or third-party wallet, you understand the "irreversible" nature of blockchain operations and the "irrevocable" characteristics of related transactions, and you and your counterparty shall bear the corresponding risks and consequences.
3. You understand and acknowledge that the token exchange transactions occur, proceed, and are completed on third-party smart contracts. BSC wallet only serves as an interface tool to assist you in interacting with third-party smart contracts and displaying the corresponding results of completed transactions.
4. When you use third-party services through BSC wallet, we strongly recommend that you carefully read the service agreements, privacy policies, and other relevant documents and information of such third-party services, understand the trading objects and product information, and evaluate the risks carefully before conducting transactions on such third-party platforms. You understand that the transaction and the binding contractual relationship are established between you and your counterparty, and are not related to us. We do not assume any responsibility for any risks, liabilities, losses, or expenses arising from your transaction behavior.
5. When you transfer digital tokens to other wallet addresses, you should independently determine whether the counterparty is a person with full civil capacity during the transaction process, and decide whether to trade with the counterparty or transfer tokens to the counterparty accordingly.
6. In case of abnormal information prompts such as "transaction failed" or "packing timeout" during the transfer process, you should confirm again through the official channels of the relevant blockchain system or other blockchain query tools to avoid duplicate transfers; otherwise, you shall bear all losses and expenses caused thereby.
7. You understand that after creating or importing a wallet on BSC wallet, your Keystore, private key, mnemonic phrase, and other information are only stored on the current mobile device and not on BSC wallet or our servers. You can follow the operation guide provided by BSC wallet to synchronize wallets and replace mobile devices. However, if you fail to save or back up the wallet password, private key, mnemonic phrase, Keystore, etc., and your mobile device is lost, your digital tokens will be lost, and we cannot retrieve them for you. If you leak or compromise the wallet password, private key, mnemonic phrase, Keystore, or other backup information during export, save, or backup, or if the device or server storing or backing up the above information is hacked or compromised, your digital tokens will be lost, and we cannot retrieve them for you. You shall bear all losses arising from the aforementioned situations by yourself.
8. We recommend that you securely back up the wallet password, private key, mnemonic phrase, and Keystore information when creating or importing a wallet. We remind you not to use the following electronic backup methods: screenshots, emails, notepad applications on mobile phones, text messages, WeChat, QQ, and other electronic backup methods. We suggest that you transcribe the mnemonic phrase and Keystore information onto a physical notepad, and you can also store electronic data in a password manager.
9. We suggest that when purchasing a hardware wallet, you should:
(1) Confirm whether the hardware wallet you purchase matches the version of BSC wallet.
(2) Purchase a brand new hardware wallet from official channels.
10. We kindly remind you to use the password-free payment function of BSC wallet cautiously. Before using it, you should:
(1) Understand the security level of biometric authentication on your mobile device carefully.
(2) Do not enable the password-free payment function on public phones.
(3) If there is a large amount of digital assets in the wallet, do not enable the password-free payment function.
11. We recommend that you use BSC wallet in a secure network environment to ensure that your mobile device is not jailbroken or rooted to avoid potential security risks.
12. Please remain vigilant against fraudulent activities while using BSC wallet. If you notice any suspicious behavior, we encourage you to inform us immediately.
Ⅵ. Changes, Interruptions, and Termination of Services
1. You understand and agree that we may decide to temporarily provide certain service functions, suspend certain service functions in the future, or introduce new service functions. When we change the services, as long as you continue to use BSC wallet, it means that you still agree to the terms of this "Service Agreement" or the amended terms of this "Service Agreement."
2. In order to avoid any misuse of BSC wallet or any security risks associated with digital tokens, you should avoid using BSC wallet without basic knowledge of blockchain. For users without basic knowledge of blockchain, we reserve the right to refuse to provide some or all service functions.
3. You understand that we will suspend the service (or terminate the service completely when the following situations occur):
(1) BSC wallet operations are interrupted due to technical reasons such as equipment maintenance, upgrade, malfunction, and communication interruption of blockchain systems.
(2) Due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, or terrorist attacks, computer viruses, Trojans, hacker attacks, system instability, or government actions, we cannot provide services or we reasonably believe that continuing to provide services would pose significant risks.
(3) There are significant adverse changes in applicable laws or policies.
(4) Other situations that we cannot control or reasonably foresee.
4. When users have the following circumstances, we may unilaterally suspend or terminate some or all functions of BSC wallet for you:
(1) User deceases.
(2) User steals wallet information or mobile devices from others.
(3) User fills in false personal information on BSC wallet.
(4) User refuses the mandatory update operation of BSC wallet.
(5) User violates the provisions of third-party open source agreements or instructions notified by us using BSC wallet open-source code.
(6) User uses BSC wallet for illegal or criminal activities.
(7) User interferes with other users' normal use of BSC wallet.
(8) User falsely claims to be our staff or management personnel.
(9) User attacks, intrudes, modifies, or threatens the normal operation of our
VII Your Representations and Warranties:
1. You shall comply with the laws and regulations of the country or region where you reside, and shall not use BSC wallet for any illegal purposes, nor shall you use BSC wallet in any illegal manner.
2. You are not among the disqualified individuals excluded from using the BSC wallet service.
3. You shall not engage in any illegal or criminal activities using BSC wallet, including but not limited to:
(1) Endangering the national security of the country or region where you reside, disclosing state secrets, subverting state power, or undermining national unity;
(2) Engaging in any illegal criminal activities, including but not limited to money laundering, illegal fundraising, etc.;
(3) Using any automated programs, software, engines, web crawlers, web page analysis tools, data mining tools, or similar tools to access our services, collect or process the content we provide, intervene, or attempt to intervene in any user;
(4) Providing gambling information or enticing others to participate in gambling in any way;
(5) Intruding into other people's BSC wallet wallets to steal digital tokens;
(6) Engaging in transactions that do not match the content claimed by the counterparty, or engaging in untrue transactions;
(7) Engaging in any act that may infringe or potentially infringe upon the BSC wallet service system or data;
(8) Any other behavior that we have reasonable grounds to believe is inappropriate.
4. You understand and agree that you shall be responsible for any violation of relevant laws (including but not limited to customs and/or tax regulations) or provisions of this "Service Agreement," and shall compensate us for any losses, third-party claims, or administrative penalties incurred by us due to such violations, including reasonable legal and administrative costs, expenses, and reasonable attorney fees.
5. You undertake to pay our service fees on time (if any), otherwise, we reserve the right to suspend the services provided to you.
VIII. Privacy Policy
1. Any data or information you provide to us is also subject to our Privacy Policy ("BSC Wallet Privacy Policy"), which is part of this Service Agreement.
IX. Disclaimer and Limitation of Liability
1. We are only responsible for the obligations listed in this Service Agreement.
2. You understand and agree that, to the maximum extent permitted by law, we can only provide BSC Wallet services according to the current technical level and conditions. We are not responsible for any inability to provide services due to:
(1) System maintenance or upgrades of BSC Wallet;
(2) Force majeure events such as typhoons, earthquakes, floods, lightning, or terrorist attacks;
(3) Failures of your mobile device hardware, software, communication lines, or power lines;
(4) Your improper operation or use of our services not authorized or approved by us;
(5) Computer viruses, trojans, malicious programs attacks, network congestion, system instability, system or device failures, communication failures, power failures, bank or government actions, etc.;
(6) Any other reasons not caused by us.
3. We are not liable for:
(1) Loss of digital tokens due to your loss of mobile device, deletion and non-backup of BSC Wallet, deletion and non-backup of wallet, forgetting and non-backup of wallet password, private key, mnemonic phrase, or Keystore;
(2) Loss of digital tokens due to your disclosure of wallet password, private key, mnemonic phrase, or Keystore, or lending, transferring, or authorizing others to use your mobile device or BSC Wallet, or downloading BSC Wallet application from non-official channels, or using BSC Wallet in other insecure ways;
(3) Loss of digital tokens due to your incorrect operation (including but not limited to entering the wrong transfer address, selecting the wrong transfer node server) of BSC Wallet;
(4) Loss of digital tokens due to your misunderstanding of blockchain technology;
(5) Deviation in copying users' transaction records on the blockchain due to system lag or blockchain system instability.
4. You should bear the risks and consequences arising from or related to the following situations:
(1) Transactions operated using third-party services;
(2) Using developer mode; and
(3) Using cryptocurrency exchange services, the risks and consequences of which should be borne by you, the counterparty, and the related smart contract issuer.
5. You understand that BSC Wallet is only a tool for managing your digital tokens. We cannot control the quality, safety, legality, authenticity, or accuracy of third-party services, nor can we ensure that the counterparties fulfill their obligations under the agreement with you. You decide whether to use third-party services at your own discretion. You understand that the transaction and binding contractual relationship are established between you and your counterparty, not with us. We remind you to carefully judge the authenticity, legality, and effectiveness of the information provided by third-party services before using them. Additionally, all risks arising from transactions with any third party should be borne by you.
6. You acknowledge that BSC Wallet may simultaneously provide services to you and your counterparty or have related or other beneficial relationships with them. You agree to explicitly waive any actual or potential conflicts of interest that may arise from such behavior and not claim that we have legal flaws in providing services, nor increase our responsibilities or duties of care due to this.
7. We do not provide guarantees for:
(1) Our services meeting all your needs;
(2) Any technology, product, service, information, or other material obtained through our services meeting your expectations;
(3) The timeliness, accuracy, completeness, and reliability of digital token market trading information obtained from third-party exchanges;
(4) The counterparty fulfilling their obligations under the agreement with you on BSC Wallet.
8. In any case, our total liability for breach of contract under this Service Agreement does not exceed: (1) the market value of 0.1 ETH; or (2) SGD 100, whichever is higher.
9. You understand that BSC Wallet is only a tool for managing digital tokens and displaying transaction information. We do not provide legal, tax, or investment advice. You should seek advice from professionals in law, tax, and investment. We are not responsible for any investment losses or data losses you suffer while using our services.
10. You understand that according to applicable laws and regulations, we may change our user access standards from time to time, limit the scope and method of services provided to specific users, etc.
X. Miscellaneous Terms
1. Non-Transferability: Only you (and not anyone else) have the right to make claims related to the use of services under this Service Agreement. You may not transfer, trade, or attempt to transfer or trade your right to such claims. Any such transfer is invalid, and we are not obligated or liable to the transferee.
2. Intellectual Property: BSC Wallet is an application developed and owned by us. The intellectual property of any content displayed in BSC Wallet (including this Service Agreement, announcements, articles, videos, audio, images, files, information, materials, trademarks, or logos) belongs to us or third-party rights holders. You may only use BSC Wallet and its content for the purpose of holding and managing digital tokens. Without our or third-party rights holders' prior written consent (or as allowed by relevant open-source agreements), no one may use, modify, reverse engineer, copy, publicly disseminate, alter, distribute, issue, or publicly publish the application and content (including BSC Wallet's open-source code). This Service Agreement should not be construed as granting you any intellectual property rights, including the right to use any information, images, user interfaces, logos, trademarks, trade names, network domain names, or copyrights related to us or the services for any purpose.
3. No Waiver: Any failure by us to enforce this Service Agreement or to assert our rights, claims, or causes of action under this Service Agreement does not constitute a waiver of our right to assert any rights, claims, or causes of action against you.
4. Entire Agreement:
(1) This Service Agreement consists of the BSC Wallet Service Agreement, BSC Wallet Privacy Policy, and the various rules we publish from time to time (including the content in the Help Center).
(2) Besides the BSC Wallet Service Agreement and BSC Wallet Privacy Policy, this Service Agreement contains the entire agreement and understanding between us regarding the use of BSC Wallet and related services and supersedes all prior agreements, understandings, or arrangements (both oral and written).
5. Taxes:
(1) The services provided under this Service Agreement do not include any taxes applicable to, generated by, or related to your use of the services in any jurisdiction ("Tax Obligations").
(2) You are responsible for determining any Tax Obligations and reporting, withholding, collecting, reporting, and remitting the correct amounts to the appropriate tax authorities. You are solely responsible for all penalties, claims, fines, penalties, and other liabilities arising from your failure to complete or fulfill any of your Tax Obligations.
(3) We are not responsible for determining any Tax Obligations, nor are we responsible for reporting, withholding, collecting, reporting, and remitting the correct amounts to the appropriate tax authorities.
6. Governing Law: This Service Agreement is governed by and interpreted in accordance with the laws of the Republic of Singapore.
7. Jurisdiction: Any disputes arising out of or related to this Service Agreement (including any issues regarding its existence, validity, or termination) shall be initially resolved through negotiations. If the dispute is not resolved within thirty (30) days after the start of the negotiation process, the parties shall submit the dispute to the Singapore International Arbitration Centre (SIAC) and resolve it by arbitration in Singapore in accordance with the SIAC's then-effective arbitration rules (which are deemed incorporated by reference). The arbitration tribunal shall consist of one arbitrator appointed by the President of SIAC. The arbitration language shall be English. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Singapore to support and assist in the arbitration process, including providing interim relief as necessary before the outcome of the arbitration.
8. Contracts (Rights of Third Parties) Act: The Contracts (Rights of Third Parties) Act (Chapter 53B) of the Republic of Singapore (as amended, revised, or supplemented from time to time) applies to this Service Agreement. Persons who are not parties to this Service Agreement do not have any rights under this Service Agreement, nor the right to enforce this Service Agreement.
9. Severability: Any part of this Service Agreement found to be invalid, illegal, or unenforceable by any law governing this Service Agreement shall be deemed invalid, illegal, or unenforceable only to that extent (and no further) and shall not affect the validity, legality, or enforceability of any other part of this Service Agreement.
10. Partial Invalidity: The illegality, invalidity, or unenforceability of any provision of this Service Agreement under the law of any jurisdiction does not affect the legality, validity, or enforceability of that provision under the law of any other jurisdiction, nor does it affect the legality, validity, or enforceability of other provisions of this Service Agreement.
11. Translation: Any translation of this Service Agreement (if any) is provided solely for your convenience, and is not intended to modify this Service Agreement. If there is a conflict between the English version and any non-English version, the English version shall prevail.
XI. Miscellaneous
1. You should fully understand and comply with all laws, regulations, and rules related to the use of services in your jurisdiction.
2. If you encounter any problems during the use of the services, you can contact
us through feedback in BSC Wallet.
3. All users can view this Service Agreement in BSC Wallet. We encourage you to review this Service Agreement each time you access BSC Wallet.
4. For matters not covered in this Service Agreement, you need to comply with the announcements and related rules we update from time to time.
5. This Service Agreement takes effect on June 1, 2024.
